By-Laws of the Foundation

The foundation is to establish a board of trustees which is the foundation's highest control body and at the same time the full assembly of all sustaining members and all sponsors who donated money in the year the full assembly met. All founding members are automatically members of the board of trustees. The members of the board are entitled to vote in the annual meeting of the board of trustees.

Supporting the Foundation

The foundation's work mainly consists of collecting any naturopathic knowledge in the world and working it up editorially so that it can be published afterwards. In future we intend to support research projects as well. That costs money. You are therefore offered to become a member of the research foundation. Membership in our foundation is possible as follows: sustaining member, member or promotion partner.

The board is the decision making body of the foundation.

At the time of founding the board consists of the founding 3 members. The board elects from its members a chairman and a deputy chairman.

All members of the board act on an honorary basis. They can have their fees reimbursed which can be settled from the foundation's income.

The board may agree to have standing orders.

If a full member retires from the board, the remaining board members may appoint a substitute member who will be part of the board like all the other board members for an indefinite period of time.

The foundation appoints a board of trustees consisting of sustaining members and sponsors. The board of trustees elects one chairman and one deputy chairman. The chairman and his deputy are simultaneously members with voting power of the board as well.

Until the board of trustees elected their first chairman the founding members take over the chairman's tasks and duties.

Tasks of the board

The board decides about the use of the foundation's income within the rules of these statutes. The board is responsible for any of the foundation's income to be used for the support of the foundation's goals only.

The board chooses the projects to be supported and represents the foundation in PR work. The board delegates the tasks of mainly publishing naturopathic knowledge to an editorial staff team and acts as controller to check if such team sticks to the foundation's regulations.

The board passes its resolutions by means of simple majority of the members present. The board has a quorum if at least two of its full members are present. In the event of equality of votes the chairman, and in case of his absence the deputy chairman, has the casting vote.

It is possible to pass resolutions by a written circulation procedure. If resolutions are passed by a written circulation procedure it is necessary to have the approval of the majority of all board members.

The chairman of the board or his deputy is to call the board to come together for meetings as often as it seems necessary in order to have a proper management, however, at least once a year. The board has to be called for a meeting on the occasion that at least one third of the board members demands so.

Board of trustees

All founding members are automatically members of the board of trustees. The members of the board are entitled to vote in the annual meeting of the board of trustees.

Each member of the board of trustees has only one vote. Members of the board of trustees work on an honorary basis. The board of trustees elects a chairman and a deputy chairman within its own ranks. The chairman of the board of trustees or his deputy calls for the full assembly and conducts the meetings.

The foundation's board reports to the board of trustees and will be elected by the board of trustees for a period of two years. The foundation's board may be re-elected indefinitely.

The board of trustees gives advice to the foundation's board.

The board of trustees is called for meeting at least once a year. The members are invited to participate in the full assembly by the chairman or his deputy.

The board of trustees may agree to have standing orders.

The board of trustees receives the board's report and grants approval. If the foundation's board is not granted approval the board of trustees has to elect a new board. In order to vote out the board there has to be a two-thirds majority of the votes cast.

Every two years the board of trustees elects the foundation's board. The board is considered elected only if every single member was given the majority of votes cast.

The board of trustees can make organisational adjustments of the foundation's statutes with a two-thirds majority of all votes cast. However, the basic purpose of the foundation cannot be changed. It should not be made possible that the aims of the foundation can be cancelled by any resolutions the board of trustees may pass.

The foundation can be suspended with the votes of all founding members only.

Once suspended the foundation's property will be assigned to a non-profit organisation that is doing business in a similar field than that of the research foundation.
